About the Role
We are looking for a motivated and detail-oriented CS Intern to support the Secretarial
and Compliance function across corporate law, FEMA, SEBI, and regulatory compliance
matters. This internship offers hands-on exposure to corporate governance, board
processes, statutory filings, and regulatory coordination in a fast-paced environment.
Key Responsibilities
1. Companies Act, 2013 Compliances
Assist in drafting notices, agendas, and minutes for Committee, Board, and
General Meetings.
Support maintenance of statutory registers and corporate records.
Assist in review and coordination of Shareholders’ Agreements (SHA) and Share
Subscription Agreements (SSA) from a Companies Act perspective.
Coordinate for procurement of ISINs and support dematerialization activities with
investors.
Liaise with RTAs, auditors, consultants, and internal stakeholders.
Support secretarial compliances related to:
o Private Placement / Preferential Allotment
o Buy-back and Bonus Issue of Shares
o ESOP administration and tracking
o Alteration of charter documents
o Inter-corporate loans, bank guarantees, and OD documentation
Maintain compliance trackers and ensure timely updates to stakeholders.
Assist in obtaining disclosures and declarations from Directors.
Support due diligence, audit, and compliance documentation requirements.
Assist in preparation of compounding applications under the Companies Act, 2013
2. FEMA & RBI Compliances
Assist in filing FEMA-related forms including:
o FC-GPR
o FLA Return
o FC-TRS
Support documentation and coordination for FEMA compliance matters.
Assist in preparation of compounding applications under FEMA regulations.
3. SEBI Compliances
Support compliance activities under applicable SEBI regulations including:
o ICDR Regulations
o LODR Regulations
Assist in regulatory research and documentation.
4. Other Regulatory Compliances
Support compliance activities under:
o Insurance Regulatory and Development Authority Act, 1999
o NBFC Base Layer regulations
Eligibility Criteria
CS (Company Secretary)
Prior internship exposure in secretarial/compliance functions will be an added
advantage.
Desired Skills
Basic understanding of corporate laws, governance, and statutory compliance
requirements.
